A Complete Checklist For LLP Registration In Malaysia

Here’s a simple five-item checklist of the information you’ll need to register a Limited Liability Partnership in Malaysia in full compliance with the Limited Liability Partnerships Act 2012 as a Malaysian or foreigner.

Checklist For LLP Registration

1. Proposed LLP name(s)

You should think of at least three just in case your first choice has already been taken by another LLP or does not comply with SSM naming guidelines.  

Also, If the name is not in Malay or English, prepare an explanation of its meaning.

2. Business details

Describe the nature of your business with:

  1. Up to three MSIC codes, and
  2. A long-form business description of up to 200 words

3. Business address

This is where your LLP will operate and must be a Malaysian address.

If you haven’t found premises or plan to operate from home, you can use your Malaysian residential address (but it must be changed later to reflect where you do business).

For foreigners without a Malaysian address, speak to us about using MISHU’s address temporarily.

4. Minimum two partners (no maximum limit)

LLPs in Malaysia must have at least two partners who can be foreigners or corporate bodies. 

The following information about each partner is required:

  • full name
  • residential address
  • phone number
  • email address
  • scanned copy of MyKad / Passport
  • (for foreigners) proof of residential address, e.g. latest utility bills / tenancy agreement / bank account statement header showing name and address
  • (for corporate partners) company profile and authorised representative’s name and MyKad / passport

5. Compliance Officer details

Under the Limited Liability Partnerships Act, all LLPs must appoint a Compliance Officer to act as advisor on statutory compliance matters, similar to how a Company Secretary functions in a Sdn Bhd.

The Compliance Officer can be appointed from among your partners or persons qualified to act as a Company Secretary (shameless promotion of our excellent Company Secretaries here).

6. Letter of approval (for professional services)

LLPs formed as part of a professional practice like law and accounting firms must obtain an approval letter from the governing body of their profession.

Additionally, they must:

  • consist of partners that belong to the profession, and
  • have valid professional indemnity insurance
